Terms of Purchase, Legal Notice & Disclaimers

These Terms of Purchase, Legal Notice & Disclaimers (“Terms”) govern your access to and use of Good News AI, operated by Shanté Micah LLC (“Company,” “we,” “us,” or “our”). By accessing or using Good News AI, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Service Description

Good News AI is an AI-powered public relations and media placement platform that helps experts, entrepreneurs, and executives get booked on podcasts, placed in publications, and featured across media outlets. The platform generates pitch letters, researches shows and publications, manages outreach pipelines, and provides media preparation materials. Services are provided on a software-as-a-service basis and include access to AI-generated content, digital tools, and proprietary methodologies. All services are for educational and informational purposes and do not constitute professional legal, financial, or medical advice.

2. Accounts and Subscriptions

2a. Account Registration

You must create an account to use Good News AI. Accounts are managed through our authentication provider (Clerk). Each account is for a single individual user tied to a single email address. Your account credentials are personal and non-transferable. Sharing your account or login credentials constitutes a material breach of these Terms and may result in immediate termination.

2b. Subscription Plans

Access to Good News AI's features requires an active paid subscription. Subscriptions are billed through Stripe. We offer monthly subscription plans and, from time to time, promotional offers such as lifetime access plans and payment installment options. We reserve the right to modify subscription pricing, features, or access tiers at any time with reasonable notice. Continued use of the platform after such changes constitutes acceptance.

2c. Single Seat, Single Business, Single Email

Each purchase grants access for one (1) seat, one (1) business, and one (1) email address only. Sharing access, use across multiple businesses, or use across multiple email addresses is strictly prohibited. You may not share your account with others, allow multiple people to use a single subscription, or use a Personal plan to operate an agency or provide services to multiple clients. Agency and multi-user licensing is available separately on Enterprise plans.

If you are found to be in violation of this policy, access to the platform may be revoked immediately, and full payment obligations will remain due and payable without refund.

2d. Automatic Renewal

Monthly subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel prior to the renewal date. By subscribing, you authorize us to charge your payment method on file for recurring payments. You are responsible for managing your subscription through your account settings or the Stripe billing portal.

2e. Payment Failure

If a payment fails, we will attempt to process the charge again. If payment remains unsuccessful, your access to paid features may be suspended or revoked until the outstanding balance is settled. You are responsible for ensuring your payment method on file is current and valid.

2f. Duplicate Charges

If you believe you have been charged in error or have a duplicate subscription, you must contact us at support@shantemicah.com within seventy-two (72) hours of the charge. It is your responsibility to cancel any prior subscriptions before purchasing a new one. Duplicate charges reported after the 72-hour window may not be eligible for adjustment.

2g. Upgrades and Plan Changes

When upgrading from one plan to another, any applicable pricing credits will be applied automatically through our payment processor. Upgrades take effect immediately — you only pay the prorated difference for the remainder of your billing cycle. Downgrades take effect at your next renewal date, and you retain full access to your current plan until then.

3. Cancellation and Refund Policy

3a. Cancellation

You may cancel your subscription at any time through the Manage Plan page in your account or through the Stripe billing portal. Cancellation takes effect at the end of your current billing period — you retain full access to all features until that date. No prorated refunds are issued for partial billing periods.

After your billing period ends, your account reverts to a free tier with browse-only access. You will not be able to create profiles, generate pitches, send emails, or use any paid features. Your existing data is retained per our Privacy Policy — you can resubscribe at any time to regain full access.

3b. Refund Policy

All payments made to Good News AI are non-refundable, without exception. This applies to monthly subscription payments, lifetime access purchases, payment plan installments, and any promotional or discounted offers. Because Good News AI provides instant access to AI-powered tools, digital content, and proprietary intellectual property upon payment, all sales are final. No credits or refunds will be issued for unused portions of a subscription period, downgrades, or voluntary cancellations.

3c. Payment Plans and Installments

If you are participating in a payment plan or installment arrangement and choose to cancel, pause, or discontinue use of the platform, you remain responsible for all outstanding payments under the original agreement. No credits or refunds will be issued for installments already paid, and remaining installment obligations will continue as scheduled. Failure to complete installment payments may result in suspension of access until the balance is settled.

3d. Lifetime Access Purchases

Lifetime access purchases (including Founding Member offers) are one-time payments that grant permanent access to the specified plan tier. Lifetime purchases are non-refundable and non-transferable. “Lifetime” refers to the lifetime of the product — for as long as Good News AI continues to operate the specified plan tier. Lifetime access applies to the plan tier purchased and does not include access to higher-tier plans introduced in the future, which are available as separate upgrades.

3e. Chargebacks and Disputes

If you initiate a chargeback or payment dispute with your bank or credit card company, you remain responsible for all amounts due. We reserve the right to immediately suspend or terminate your account and revoke access to all platform features, AI-generated content, and any deliverables upon notification of a chargeback. If you have a billing concern, please contact us directly at support@shantemicah.com before initiating a dispute with your financial institution.

4. Your Account and Data

You are responsible for maintaining the confidentiality of your access credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your profile and to keep it current. You must notify us immediately of any unauthorized use of your account at support@shantemicah.com.

5. Intellectual Property

5a. Our IP

Good News AI, including its name, logo, design, software, AI prompts, algorithms, scoring systems, pitch formulas, frameworks, methodologies, database architecture, and all related intellectual property, is and remains the exclusive property of Shanté Micah LLC. Nothing in these Terms grants you any ownership interest in the platform or its underlying technology.

5b. No Reproduction

You may not reproduce, distribute, modify, create derivative works of, republish, transmit, sell, resell, or exploit any materials provided in connection with the platform. This includes but is not limited to pitch formulas, scoring rubrics, AI prompts, frameworks, training materials, research outputs, and any proprietary methodology embedded in the platform.

5c. Your Input Data

You retain ownership of the personal and professional information you provide to the platform (your name, bio, credentials, expertise, etc.). By submitting this information, you grant us a limited license to use it solely to provide the Service to you.

5d. AI-Generated Content

Pitch letters, article outlines, research reports, and other content generated by the platform using your profile data (“Generated Content”) belong to you. You may use Generated Content for personal and professional media outreach purposes. We retain a limited license to use anonymized, aggregated patterns from Generated Content to improve our AI models and service quality. We will never share your specific pitch text or identifiable business information with third parties.

5e. User Submissions and Feedback

Any feedback, suggestions, ideas, or other submissions you provide to us regarding the platform (“Feedback”) become the property of the Company. You grant us a non-revocable, royalty-free, worldwide license to use, modify, publish, and incorporate Feedback into our products and services without obligation or compensation. If you participate in any live calls, webinars, group coaching, or community sessions offered by the Company, you grant us a non-revocable commercial license to use, republish, and distribute any content, questions, or commentary you contribute during those sessions for marketing, training, and educational purposes.

6. Acceptable Use

You agree not to:

  • Share, sell, or redistribute your account credentials or allow others to access your account
  • Use the platform to send spam, deceptive communications, or content that violates applicable law
  • Attempt to reverse engineer, scrape, or extract the platform's AI prompts, algorithms, or data
  • Use Generated Content to build, train, or improve any competing AI system or service
  • Resell AI-generated pitches as a standalone service that competes with Good News AI
  • Impersonate any person or entity, or misrepresent your credentials in pitches
  • Use the platform for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any part of the platform or its infrastructure
  • Use automated scripts, bots, or tools (including but not limited to Zapier, Make, or custom integrations) to perform bulk searches, scoring, or research actions beyond the intended individual use of the platform
  • Use a single Personal plan to operate an agency or provide services to multiple clients
  • Circumvent or attempt to circumvent any usage limits, rate limits, or access controls

Usage Limits

To maintain platform quality and protect shared resources, certain features are subject to daily usage limits. These limits are designed to support intensive individual use while preventing automated abuse. Current limits for the Personal plan include:

  • Podcast discovery searches: Up to 500 per day
  • Quick Score analyses: Up to 200 per day
  • Deep Research analyses: Up to 100 per day
  • Pitch generation: Up to 200 per month
  • Email sending: Up to 25 per day, staggered for deliverability

Usage limits may be adjusted as the platform evolves. Higher limits are available on Professional, Thought Leader, and Enterprise plans. If you consistently reach your limits, contact us to discuss a plan that fits your volume needs.

7. Disclaimers

7a. AI Disclaimer

Good News AI uses artificial intelligence to generate pitch letters, research, and content recommendations. AI-generated content is a starting point, not a guarantee of media placement or booking. Results vary based on your credentials, the quality of information you provide, the outlets you target, and factors entirely outside our control. We make no representation that use of our platform will result in any specific media appearances, bookings, or business outcomes.

You are responsible for reviewing all AI-generated content before sending it. You represent that any pitches you send are truthful and accurately represent your credentials and experience.

7b. No Professional Advice

The platform and all content provided through it are for educational and informational purposes only. Good News AI does not provide legal, financial, medical, or professional advice. While the platform provides PR strategy, media coaching, and visibility guidance through AI-powered tools, the outputs should not be relied upon as a substitute for professional counsel. You are solely responsible for your decisions and actions based on information provided by the platform.

7c. Results Disclaimer

Results vary. No guarantees are made regarding outcomes, success, or any specific results from using the platform. Testimonials, case studies, and examples shared by the Company represent individual experiences and are not guarantees of future performance. Your results depend on your effort, credentials, industry, and many factors beyond our control.

8. Service Availability

We strive to maintain consistent platform availability but do not guarantee uninterrupted access. Scheduled maintenance, system updates, and unforeseen technical issues may result in temporary downtime. If the platform is unavailable for fewer than three (3) business days, all customer payments remain due and no credits or refunds will be issued. In the event of an unplanned outage exceeding 72 consecutive hours, we may, at our sole discretion, issue account credits to affected subscribers. Short-term outages do not entitle you to refunds, credits, or any reduction in fees.

9. Third-Party Services

Good News AI integrates with third-party services including Google Gmail (for sending emails), Stripe (for payment processing), Clerk (for authentication), Anthropic Claude (for AI generation), podcast databases, and email delivery providers. Your use of these integrations is subject to the respective third parties' terms of service. We are not responsible for the availability, practices, or policies of third-party services.

10. Privacy

Your use of Good News AI is subject to our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, engage in abusive or fraudulent behavior, or if your subscription lapses. You may stop using the platform at any time. Upon termination, your right to access the platform immediately ceases. We will retain your data for 90 days after termination before deletion, unless you request earlier deletion.

Termination of your account does not relieve you of any obligation to pay outstanding fees or amounts due. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE LOSSES ARISING FROM YOUR USE OF THE PLATFORM.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHANTÉ MICAH LLC AND GOOD NEWS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Shanté Micah LLC, Good News AI, and their respective officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, content you submit or send through the platform, or your violation of any third-party rights.

15. Dispute Resolution

15a. Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@shantemicah.com and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly through direct communication.

15b. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. If informal resolution is unsuccessful, any disputes shall be resolved in the state or federal courts located in Texas. You consent to the personal jurisdiction of these courts.

15c. Claims Deadline

Any claim or cause of action arising from or related to your use of Good News AI must be filed within one (1) year after the claim arises. Claims filed after this period are permanently barred.

16. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions or orders, national or regional emergencies, epidemics or pandemics, power failures, internet or telecommunications failures, cyber attacks, fire, flood, earthquake, or other catastrophic events. During any such event, the Company's obligations are suspended for the duration of the force majeure event. All customer payment obligations remain in effect during force majeure events.

17. Changes to These Terms

We may update these Terms at any time. We will notify active subscribers of material changes via email or platform notification at least fourteen (14) days before they take effect. Your continued use of the platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the platform.

18. Business Hours

Company's business operating hours are Monday through Friday from 10:00 AM to 5:00 PM Eastern Standard Time. All emails will be responded to within twenty-four (24) to forty-eight (48) hours during business operating hours. Communications received during the weekend will be addressed the following business day. The Company will be closed on holidays and for vacations, which may affect business operating hours. Closures for vacation are within the Company's sole authority and discretion.
